Terms of Service

These Terms of Service (“Agreement”) govern the services provided by WebLead Genius, a Quakenbush Design, Inc. company (“Company,” “we,” or “us”) to the client (“Client,” “you”). By purchasing or using our services, you agree to be bound by this Agreement.


1. Services Provided
WebLead Genius offers a variety of digital services including, but not limited to:

      • Website design and development (template and custom options)

      • Website hosting and maintenance

      • SEO strategy and implementation

      • CRM and marketing automation tools (powered by GoHighLevel)

      • Ongoing website updates and management

      • Branding

      • Other digital consulting and web-related services

    Details of each project or plan are outlined on our website or in this agreement.


    2. Payment Terms

        • The Essential Website and hosting plan includes 15GB of storage and allows for up to 5,000 monthly visitors.

        • The Lead-Generating Website and hosting plan includes 25GB of storage and allows for up to 15,000 monthly visitors.

        • If the Client exceeds the allocated storage or traffic limits, they will be notified in advance and given the opportunity to reduce usage. If overages continue, the Client may be moved to a higher-tier hosting plan with associated fees.

        • SEO services and other add-ons may be billed monthly and can be upgraded, downgraded, or canceled at any time by the Client.

        • If a monthly plan is canceled, services will continue through the end of the current billing period and will not renew thereafter.

        • After the initial 24-month period, Clients will be automatically billed monthly for continued web hosting and website management services. Clients may cancel these services at any time by providing written notice.

        • Websites may be paid in full upfront or financed monthly over a 12- or 24-month period.

        • Until the total amount is paid in full, the website remains the sole property of WebLead Genius.

        • The initial cost of the website (whether paid in full or over time) includes web hosting for 24 months.

        • Subscription services (e.g., hosting, SEO, automations) are billed monthly or annually and auto-renew unless canceled in writing.

        • Late payments may result in service suspension and a 2% monthly late fee.

        • No refunds will be issued for completed work or partially used service periods, except as outlined in Section 12. Refunds are not available for SEO services, hosting, or website management under any circumstances.


      3. Client Responsibilities

          • We work in good faith to complete each website within 30 days of receiving all required information from the Client. However, during the project, it is common for additional details—such as images, written content, links, or data—to be requested from the Client. Timely cooperation is essential to avoid delays.

          • Clients are solely responsible for the content they provide, including ensuring that all text, images, videos, and other media are properly licensed or owned. WebLead Genius assumes no liability for copyright infringement or misuse of third-party content submitted by the Client.

          • Clients are responsible for purchasing and registering their own domain name (URL), unless otherwise discussed and agreed in writing.

          • If a domain is purchased and managed through WebLead Genius, the Client will be charged an annual fee for continued domain registration and management.

        The Client agrees to:

            • Provide all required content, media, and credentials in a timely manner.

            • Review and approve work promptly to avoid delays.

            • Maintain valid payment information on file.

          Failure to meet these responsibilities may delay timelines or result in additional fees.


          4. Project Revisions & Scope Changes

          Revisions typically include updates to existing text, images, or content within the approved structure of the site. These do not generally cover structural changes such as layout adjustments or the addition of new pages. However, we will make reasonable efforts to accommodate such requests when possible. If any requested changes result in additional costs, we will notify the Client in writing before proceeding. No additional work will be completed without the Client’s prior written approval.

          Revisions are limited to those specified in the Estimate. Each website plan includes a defined number of “rounds of changes” as outlined in the plan details. A round of changes is defined as a single, consolidated list of requested updates submitted by the Client after an initial review. Multiple revisions submitted separately may be counted as additional rounds and may incur extra fees.

              • The Essential Website plan includes 1 round of changes per month for 24 months.

              • The Lead-Generating Website plan includes 3 rounds of changes per month for 24 months as long as the website remains hosted through WebLead Genius. If the site is moved to another hosting provider, WebLead Genius is no longer responsible for ongoing changes.

            Requests outside the original scope may require a change order and additional costs.


            5. Ownership & Rights

                • Unless otherwise requested in writing, Client grants WebLead Genius the right to showcase completed work, including logos, screenshots, and website links, in portfolios, social media, and other marketing materials.

                • Full ownership of the website and related deliverables is transferred to the Client only after all payments have been made in full.

                • Until paid in full, WebLead Genius retains all rights to the design, code, and content. During this payment period, the Client will have no access to the WordPress admin area, file system, or backend of the website. All updates or changes must be submitted to WebLead Genius for implementation.

                • If the Client chooses to transfer the website to a different hosting provider after full payment, the Client is solely responsible for the transfer process, including downloading and migrating all website files, databases, and content. WebLead Genius will not perform or support this migration.

                • Many of the plugins used in your website are premium tools licensed under WebLead Genius accounts. These licenses do not transfer with the site. The Client will be responsible for purchasing individual subscriptions for any premium plugins they wish to continue using after migration. If these plugins are not replaced or re-licensed, certain site features may break or become unavailable.

                • WebLead Genius retains ownership of any unapproved drafts, templates, and third-party assets not fully paid for.

                • We may feature completed projects in our portfolio unless otherwise agreed in writing.


              6. Termination & Cancellation

                  • Clients may cancel subscriptions or services by providing 30 days’ written notice.

                  • WebLead Genius may cancel this Agreement for non-payment, policy violations, or breach of terms.

                  • In the event of cancellation by the Client, no partial refunds will be issued for prepaid services, including unused months or partially completed projects.

                  • If canceled, Clients remain responsible for all charges through the end of the notice period.

                  • If the Client has not paid in full, this Agreement’s cancellation voids the Client’s license to use the website or any related deliverables, and all rights to the work remain with WebLead Genius.

                  • If the Client has paid in full and wishes to migrate their website to another hosting provider, WebLead Genius does not provide migration or export services, but will grant access for the Client to complete the transfer independently within a mutually agreed-upon timeframe.

                  • After access is provided, the Client becomes fully responsible for securing all website files, databases, and assets. Premium plugins or tools licensed under WebLead Genius accounts will not transfer and must be repurchased or replaced by the Client.


                7. Limitation of Liability

                WebLead Genius is not responsible for outages, performance issues, or service failures related to third-party platforms, services, or technologies integrated into or connected with your website.

                While WebLead Genius implements standard security protocols and server-side backups, we do not guarantee recovery of lost data unless a dedicated backup service has been purchased.

                WebLead Genius makes use of cutting-edge AI tools to enhance and accelerate development and design services. However, due to the evolving nature of AI technology, these tools may occasionally produce errors, inaccuracies, or unintended results. By using our services, the Client acknowledges these limitations and agrees that WebLead Genius is not responsible for any losses, damages, or consequences resulting from the use or output of AI tools.

                WebLead Genius is not responsible for any downtime, technical delays, access interruptions, service outages, or data loss that may occur during or after the delivery of services. While we strive to provide reliable solutions, we cannot guarantee uninterrupted service or functionality across third-party platforms, web hosting environments, or internet providers.

                WebLead Genius is not liable for any indirect, incidental, or consequential damages. Our liability is limited to the amount paid for the specific service in question.


                8. Confidentiality

                Both parties agree to maintain strict confidentiality regarding any non-public information shared during the course of the engagement. WebLead Genius agrees not to disclose any of the Client’s business practices, strategies, or internal communications to third parties. Likewise, the Client agrees not to share any proprietary methods, pricing structures, tools, or processes used by WebLead Genius. This mutual confidentiality obligation survives the termination of this Agreement.

                WebLead Genius follows standard industry practices to secure Client data and confidential materials. We do not share data with third parties except as necessary to provide services.

                WebLead Genius is committed to protecting the privacy and security of Client data. Clients are responsible for ensuring their own compliance with any applicable data protection or privacy regulations relevant to their industry, audience, or region.

                Any confidential information shared by the Client will be kept private and only used to perform the agreed-upon services.


                9. Governing Law & Dispute Resolution

                This Agreement is governed by the laws of the State of Indiana. Any dispute or claim arising out of or relating to this Agreement shall first be addressed through good faith negotiation between the parties. If the dispute cannot be resolved through negotiation, it shall be resolved exclusively by binding arbitration in accordance with the rules of the American Arbitration Association (AAA). The arbitration will take place in Hamilton County, Indiana. Each party will bear its own costs associated with arbitration unless otherwise ordered by the arbitrator.


                10. Modifications to Terms

                WebLead Genius reserves the right to update these Terms at any time. Continued use of our services after changes are posted constitutes acceptance of the revised Terms.


                11. SMS Messaging Terms

                By submitting your phone number through our form and opting in, you agree to receive text messages from WebLead Genius, a Quakenbush Company (Quakenbush Design, INC). These messages may include important updates, service notifications, appointment reminders, promotional content, and other relevant communications.

                Message Frequency
                Message frequency varies. You may receive recurring messages depending on your interaction with our services.

                Opt-Out & Support
                You can opt out of receiving text messages at any time by replying STOP. After you send the STOP message, you will no longer receive messages from us. To resume receiving messages, you may opt in again through our website or contact us directly.

                  Message and Data Rates
                  Message and data rates may apply depending on your mobile carrier and plan. Check with your wireless provider for more details.

                  Carriers
                  Carriers are not liable for delayed or undelivered messages.

                  Privacy
                  We respect your privacy. Your phone number and personal information will not be shared, sold, or distributed to third parties without your consent.

                  Eligibility
                  By opting in, you confirm that you are the account holder or have the account holder’s permission to enroll the mobile number provided and that you are at least 18 years old or have parental/guardian consent.

                  Changes to SMS Terms
                  WebLead Genius reserves the right to modify these SMS Messaging Terms at any time. Any changes will be posted to this section, and your continued use of the service constitutes your acceptance of those changes.


                  12. Satisfaction Guarantee

                  If the Client is not satisfied with their completed website, they may request a full refund by submitting a written request to info@webleadgenius.com within 30 days of project completion. Refunds will only be issued if the request is received within this 30-day window. This guarantee applies only to website design services and does not cover subscription-based services such as hosting, SEO, or automation tools.
